These Terms & Conditions ("Terms") govern all brand-specific offers, free gifts, gift vouchers, contests, rewards, experiences and promotional benefits ("Offers") made available on Nykaa Fashion.
By participating in an Offer or placing an eligible order, you agree to these Terms, Nykaa Fashion's Terms of Use, Privacy Policy, Return & Refund Policy and the applicable Brand-Specific Terms.
1. General
1.1 Each Offer is sponsored, funded, administered and/or fulfilled by the respective participating brand, unless expressly stated otherwise.
1.2 Nykaa Fashion acts solely as an intermediary marketplace facilitating the display of such Offers on its platform. The participating brand shall be solely responsible for the Offer, including its eligibility criteria, rewards, fulfilment, quality, availability and all related obligations, except to the extent required under applicable law.
1.3 Participation in an Offer is subject to these Terms and the applicable Brand-Specific Terms displayed on the relevant Offer page.
1.4 The participating brand and/or its authorised service providers may contact eligible customers using the contact details available with Nykaa Fashion for the limited purpose of administering, verifying, communicating or fulfilling the applicable Brand-Specific Offer. By participating in the Offer, the customer expressly authorises such communication. Any communication, prize fulfilment or administration of the Offer by the participating brand shall be the sole responsibility of the participating brand, and Nykaa shall not be liable for any act, omission, delay or default on the part of the participating brand or its service providers, except as required under applicable law
2. Eligibility
2.1 Each participating brand may prescribe its own minimum order value (MOV), eligible products, campaign period, reward, redemption process and other eligibility criteria.
2.2 Unless expressly stated otherwise, purchases across different brands cannot be combined to qualify for a Brand-Specific Offer.
2.3 Nykaa and/or the participating brand reserve the right to determine eligibility based on successful, valid and non-returned orders.
3. Free Gifts, Gift Vouchers & Rewards
3.1 Free gifts, gift vouchers and promotional rewards are subject to availability and may be offered on a first-come, first-served basis while stocks last.
3.2 Unless otherwise specified, only one promotional benefit shall be issued per eligible order.
3.3 Promotional benefits are non-transferable, non-refundable, non-exchangeable and cannot be redeemed for cash or credit.
3.4 Gift vouchers, where applicable, may be issued only after expiry of the applicable return period and successful verification of the qualifying order.
3.5 Nykaa shall not be responsible for non-delivery of any gift voucher, reward or communication due to incorrect or incomplete customer details.
4. Returns & Cancellations
4.1 If a qualifying order is cancelled, returned, refunded or otherwise found to be ineligible, Nykaa and/or the participating brand reserve the right to cancel, reverse or recover the associated promotional benefit.
4.2 Where a free gift has been issued with a qualifying order, such free gift must also be returned in its original condition and packaging. If the free gift is not returned, Nykaa reserves the right to deduct its MRP from the applicable refund, where permitted under applicable law.
5. Contests & Experience-Based Offers
5.1 Certain Offers may include contests, lucky draws, event passes, travel experiences or similar promotional rewards.
5.2 Participation in such Offers does not guarantee selection as a winner.
5.3 Winners shall be selected strictly in accordance with the criteria specified by the participating brand.
5.4 Unless expressly stated otherwise, all incidental expenses including travel, accommodation, taxes, insurance and personal expenses shall be borne solely by the winner.
5.5 The participating brand shall be solely responsible for organising, administering and fulfilling any contest, travel, event or experience-based reward.
6. Changes to Offers
6.1 Nykaa and/or the participating brand reserve the right to modify, suspend, substitute, withdraw or cancel any Offer at any time without prior notice, to the fullest extent permitted under applicable law.
6.2 Nykaa reserves the right to amend these Terms at any time. The revised Terms shall become effective upon publication on the Nykaa Fashion platform or the relevant Offer page.
7. Limitation of Liability
7.1 Nykaa Fashion is solely an intermediary marketplace facilitating Brand-Specific Offers on behalf of participating brands.
7.2 To the fullest extent permitted under applicable law, Nykaa shall not be responsible or liable for the creation, sponsorship, administration, fulfilment, quality, merchantability, fitness, availability, cancellation or modification of any Offer, reward, free gift, voucher, contest, event or experience provided by a participating brand or any third-party service provider.
7.3 Any claims relating to a Brand-Specific Offer, including fulfilment of rewards or promotional benefits, shall lie solely against the participating brand or the relevant third-party service provider, as applicable, and not against Nykaa, except to the extent liability cannot be excluded under applicable law.
7.4 Nykaa shall not be liable for any indirect, incidental, consequential or special damages arising out of or in connection with any Brand-Specific Offer, to the fullest extent permitted under applicable law.
8. Fraud & Misuse
8.1 Nykaa reserves the right to disqualify any customer, withhold or reverse any promotional benefit or cancel any qualifying order where it reasonably believes that the Offer has been misused, including through fraud, multiple accounts, payment irregularities, abusive returns, bulk purchases or breach of these Terms or Nykaa policies.
9. Taxes
9.1 Any taxes, levies or statutory charges arising in connection with any reward or prize shall be borne solely by the customer or winner, unless expressly stated otherwise.
10. Indemnity
10.1 By participating in any Offer, the customer agrees to indemnify and keep indemnified Nykaa, its affiliates, directors, officers, employees and representatives against all claims, losses, liabilities, damages, costs and expenses arising out of the customer's breach of these Terms, misuse of the Offer or violation of applicable law.
11. General
11.1 Nykaa's decision regarding eligibility, Offer administration and interpretation of these Terms shall be final and binding, subject to applicable law.
11.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to remain valid and enforceable.
11.3 These Terms shall be governed by the laws of India. Subject to applicable law, the courts at Mumbai shall have exclusive jurisdiction.
